Information regarding the merger of the companies

The Management Board of CityFit 24/7 sp. z o.o., with its registered office in Warsaw, entered in the Register of Entrepreneurs of the National Court Register under KRS number 0000520624, hereby announces that on 1 June 2026, CityFit 24/7 sp. with CityFit Health and Fitness sp. z o.o., with its registered office in Warsaw, entered in the Register of Entrepreneurs of the National Court Register under KRS number 0000521151, and with CityFit Polska sp. z o.o. with its registered office in Warsaw, entered in the Register of Entrepreneurs of the National Court Register under KRS number 0000688976. The merger was carried out in accordance with Article 492 § 1(1) of the Commercial Companies Code by transferring all the assets of CityFit Health and Fitness sp. z o.o. and CityFit Polska sp. z o.o. to the acquiring company, namely CityFit 24/7 sp. z o.o. Pursuant to Article 494(1) of the Commercial Companies Code, as from the date of registration of the merger, i.e. 1 June 2026, CityFit 24/7 sp. z o.o. automatically succeeded to all the rights and obligations of CityFit Health and Fitness sp. z o.o. and CityFit Polska sp. z o.o., which ceased to exist as legal entities on that date. CityFit 24/7 sp. z o.o. will continue the business activities previously carried out by CityFit Health and Fitness sp. z o.o. and CityFit Polska sp. z o.o. to the same extent.
